These Terms and Conditions (“Terms”) govern your use of our payroll services (“Services”) provided by FHM traders LTD(“we”, “our”, “us”). By accessing or using our Services, you agree to comply with these Terms. If you do not agree to these Terms, please refrain from using our Services.


1. Services Provided

We provide payroll processing services tailored to the logistics and pick-packer industry in the United Kingdom. Our services include:

  • Payroll processing and calculations
  • Tax and National Insurance contributions
  • Real-Time Information (RTI) submissions to HMRC
  • Contractor assessments for IR35 compliance
  • Holiday pay and overtime calculations
  • Pension auto-enrolment services

2. Compliance with UK Legislation

We are committed to ensuring that all payroll services comply with UK laws and regulations, including, but not limited to:

  • IR35 Regulations: We will assess the employment status of contractors and workers in line with IR35 rules, ensuring proper tax treatment and compliance with the legislation.
  • Real-Time Information (RTI): We will submit your payroll data to HMRC on time to comply with RTI reporting requirements.
  • National Minimum Wage (NMW) & National Living Wage (NLW): We will ensure that employees are paid according to the applicable wage laws.
  • Pension Auto-Enrolment: We will ensure that eligible employees are automatically enrolled in pension schemes as required by the law.

3. Data Protection and Confidentiality

We take the privacy and security of your data seriously. We comply with all applicable data protection regulation Data Protection Act 2018. Your data will be used solely for payroll processing and related services. We will not share your data with third parties, except as required by law or for the fulfillment of our services.


4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and timely information related to employees, contractors, pay rates, and working hours.
  • Notify us promptly of any changes in employee details, pay structures, or legislation.
  • Ensure that all statutory deductions (e.g., taxes, National Insurance contributions, pension contributions) are paid to the appropriate authorities.

5. Payment Terms

  • Fees: Our fees for payroll services are agreed upon in the service contract and are payable on the agreed terms.
  • Late Payments: Payments not made by the due date may incur late fees or penalties. Services may be suspended if payments remain outstanding.

6. Limitation of Liability

We will take all reasonable steps to ensure accurate and timely payroll processing. However, we are not liable for any indirect, incidental, or consequential damages arising from errors in payroll processing or any failure to comply with UK legislation due to inaccurate information provided by you. Our liability is limited to the amount paid for the service in the relevant period.


7. Termination of Service

Either party may terminate the payroll services by providing 30 days written notice. Upon termination, we will provide any outstanding payroll information, and you will be required to pay for any services rendered up to the termination date.


8. Changes to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be communicated to you in advance. Continued use of our Services after such changes will constitute acceptance of the updated Terms.


9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in the UK.
